Terms of Use

These Terms of Use (“Terms”) govern your access to and use of panonvalley.com and the products offered by Panon Valley LLC (“Panon Valley,” “we,” “us,” or “our”), unless a product-specific agreement says otherwise. Panon Valley LLC operates software products including Frobly. By using our websites or products, you agree to these Terms.

1. Eligibility and user responsibility

You may use our websites and products only if you are able to form a binding contract with us and are permitted to do so under applicable law. You are responsible for your use of our websites and products and for any activity that occurs under your account.

2. Compliance with law

You must comply with all applicable laws and regulations when using our websites and products.

3. Account security

If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at security@panonvalley.com if you suspect any unauthorized use.

4. Acceptable use

You agree that you will not:

• use the services for any illegal purpose;
• upload malicious files, code, or content;
• reverse engineer, decompile, or disassemble the services where prohibited by law;
• attack, disrupt, scrape, interfere with, or place undue load on the services, or engage in automated abuse;
• infringe the intellectual property or other rights of others; or
• use the services for high-risk activities where failure could lead to death, personal injury, or environmental damage.

5. Product limitations

• Frobly helps organize subscription and recurring-payment information.
• Frobly does not guarantee detection of every subscription, trial, renewal, merchant, or recurring charge.
• Frobly does not cancel third-party services on your behalf.
• You remain responsible for reviewing your charges, managing your subscriptions, and canceling third-party services directly.

6. No professional advice

Our websites and products are provided for general informational and organizational purposes only and do not constitute financial, legal, tax, accounting, or investment advice. You are responsible for your own financial decisions.

7. Billing

• Paid products may be sold through Stripe on the web.
• Current product features and pricing are displayed on the applicable product website and at checkout.
• Paid subscriptions may renew monthly, annually, or at another interval disclosed at purchase. Customers can cancel before renewal through the available billing portal or by contacting billing@panonvalley.com.
• Prices may change prospectively.
• Taxes may apply depending on your location.
• Subscriptions renew automatically until canceled, and you authorize us and our payment processor to charge your payment method for each renewal until you cancel.

8. Cancellation

You can cancel recurring subscriptions through the available billing or customer portal, or by contacting billing@panonvalley.com. Cancellation stops future renewals but does not automatically refund past charges unless required by law or stated in our Refund Policy. Access may continue until the end of the paid period unless stated otherwise in-product.

9. Refunds

Refunds are handled as described in our Refund Policy.

10. Your content and data

You retain your rights to the data and content you provide to the services. You grant Panon Valley the permission needed to host, process, and use that data and content in order to provide and operate the services for you.

11. Intellectual property

Panon Valley owns its websites, product interfaces, software, content, branding, and related materials, except for your data and content and any third-party marks. These Terms do not grant you any right to our trademarks or branding.

12. Third-party services

Our products may link to or use third-party services, such as payment processors, hosting providers, app stores, or external product websites. Those services are governed by their own terms and privacy practices, and we are not responsible for them.

13. Changes to the services

Our features may change over time. We may add, modify, or discontinue features or products, in whole or in part, at our discretion.

14. Export controls and sanctions

You may not use the services in violation of applicable sanctions, export-control laws, or trade restrictions, and you represent that you are not located in, or acting on behalf of anyone located in, a region or on a list subject to such restrictions in a way that would make your use unlawful.

15. Promotions

Promotions, coupons, trials, or discounts, if offered, are governed by the terms shown at the time of the offer and may change or end prospectively. We do not represent that any particular promotion is currently available.

16. Disclaimer

To the maximum extent permitted by law, the services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

17. Limitation of liability

To the maximum extent permitted by law, Panon Valley and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the services.

18. Indemnification

To the extent permitted by law, you agree to indemnify and hold Panon Valley harmless from claims, damages, and reasonable expenses arising out of your misuse of the services or your violation of these Terms or of applicable law.

19. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules, except where mandatory consumer protection law in your place of residence requires otherwise.
